CAC Registration Nigeria 2026: Complete Guide for Sole Proprietors and LLCs

In modern Nigeria, operating a "shadow business"—conducting massive commercial transactions using only your personal name and a private savings account—is no longer an option.

Driven by stringent Central Bank of Nigeria (CBN) regulations and anti-money laundering (AML) protocols, the walls are rapidly closing in on unregistered businesses. If your business is not registered with the Corporate Affairs Commission (CAC), you cannot open a corporate bank account, you cannot obtain a verifiable Taxpayer Identification Number (TIN), and critically, no major corporation will accept your invoice or pay you.

Registering your business is the foundational step to commercial legitimacy. Thanks to immense government digitization, the 2026 CAC registration process is faster and completely online. Here is your definitive guide.

Step 1: Decide Your Business Structure

Before visiting the CAC portal, you must decide the legal framework of your business. The two most common structures for SMEs in Nigeria are a Business Name (Sole Proprietorship) and a Private Limited Liability Company (LTD/LLC).

(We dive deep into the exact differences and which you should choose in our Business Name vs LLC guide).

  • Business Name (BN): Cheaper, faster, easier to maintain, but you are personally liable for all business debts. Ideal for freelancers, market vendors, and solo consultants.
  • Limited Liability Company (LTD): Requires share capital and formal directors, but protects your personal assets from business lawsuits and is required for highly regulated sectors (finance, oil & gas).

Step 2: Name Search and Reservation

Every business in Nigeria must have a unique, legally approved name. You cannot simply use a name because you bought the Instagram handle.

  1. Navigate to the official CAC Pre-Registration Portal (pre.cac.gov.ng).
  2. Create an account using your NIN (National Identification Number). The system requires your NIN to verify your exact legal identity.
  3. Click on Name Reservation.
  4. Submit two proposed names (e.g., Option A: Apex Nova Logistics; Option B: Nova Apex Haulage).
  5. Select your business classification and pay the nominal reservation fee (approx. ₦500 - ₦1,000).
  6. Wait 24 to 48 hours. If the name does not conflict with an existing trademark or an existing Nigerian business, the CAC will approve and reserve it for 60 days.

Step 3: Complete the Registration Forms Online

Once your name is approved and reserved, you must complete the actual registration within the 60-day window.

For a Business Name:

  • You will be asked to fill in your personal details, your residential address, and the primary address of the business.
  • You must state the exact "Nature of Business" (e.g., General Merchandise, Software Development, Catering).

For a Limited Liability Company (LTD):

  • You must input the details of all Directors (minimum of one) and Shareholders.
  • You must declare the Authorized Share Capital (the minimum required is ₦100,000 for standard businesses, but heavily regulated sectors require ₦10M to ₦100M+).
  • You will draft the Memorandum and Articles of Association (MEMART). The CAC portal provides standard, auto-generated templates that work perfectly for 95% of standard SMEs.

Step 4: Document Upload and Payment

The 2026 process is completely paperless. You do not need to visit a physical CAC office.

  1. Download the auto-generated signature documents from the portal.
  2. Sign them clearly in ink, scan them, and upload them back to the portal.
  3. Upload a clear, scanned copy of your valid government-issued ID (International Passport, Driver’s License, or NIN slip) and your latest passport photograph.
  4. Pay the final statutory registration fee via Remita.
    • Business Name: Approx. ₦10,000.
    • LLC: Scales depending on the volume of Share Capital declared (usually starting around ₦20,000 for a 1M capital company, plus stamp duties).

Step 5: Receive Your Certificate and Auto-TIN

Once approved (usually within 3 to 7 working days), your registration is complete.

The CAC will no longer mail you a physical paper certificate. You will download the E-Certificate of Incorporation and your Certified True Copies (CTC) of the status report directly from your dashboard.

The Best Part: Upon successful CAC incorporation in 2026, the Joint Tax Board (JTB) system automatically generates your Taxpayer Identification Number (TIN). It will usually be printed directly on your CAC certificate or emailed to you, killing two administrative birds with one stone.

Put Your New Status on Your Invoices

The moment you download your CAC certificate, your business transitions from an informal hustle to a legally recognized Nigerian entity.

You must immediately reflect this upgraded status on all your commercial documentation. Using InvoiceGenerator.ng, update your profile to replace your personal name with your new official Corporate Name. Input your fresh RC or BN Registration Number, and prominently display your new 14-digit TIN. Your invoices will now command instant respect from banks and corporate procurement officers nationwide.
